Terms of Service

Welcome to TISKON Hub ("Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and TISKON ("Company", "we", "us", or "our"), located in Montreal, Quebec, Canada, governing your access to and use of the Platform and all related services, features, content, and tools.

By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. If you do not agree, you must not access or use the Platform.

1. Definitions

  • "Platform" means the TISKON Hub web application, its application programming interfaces (APIs), browser extensions, and all associated services, tools, and features.

  • "User" means any individual who accesses the Platform, including Clients, Hub Members, and Team Members.

  • "Client" means a business or individual who has engaged TISKON for professional services and has been granted access to the Platform to collaborate on their project(s).

  • "Hub Member" means an individual invited by a Client to access limited project features within the Platform, which may include contractors, business partners, or other collaborators.

  • "Team Member" means an individual employed by or contracted with TISKON who uses the Platform to deliver services.

  • "User Content" means any text, images, videos, audio files, documents, code, designs, logos, brand assets, or other materials that you upload, submit, create, or transmit through the Platform.

  • "Third-Party Content" means content originating from external sources that is displayed or made accessible through the Platform, including publicly available business information, advertisements, and commercial communications.

  • "AI-Generated Content" means any text, images, code, analysis, suggestions, or other outputs produced by artificial intelligence tools integrated into the Platform.

  • "Deliverables" means files, designs, content, code, or other work product created or managed through the Platform in connection with your project(s).

  • "Services" means the professional services provided by TISKON to Clients, facilitated through the Platform.

2. Account Registration & Eligibility

2.1 Invite-Only Access

The Platform is an invite-only service. Access is granted solely at TISKON's discretion. You may only access the Platform through an invitation from TISKON or an authorized User. Unauthorized access attempts are prohibited.

2.2 Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Platform. By using the Platform, you represent and warrant that you meet this eligibility requirement.

2.3 Account Responsibilities

You agree to:

  • Provide accurate, current, and complete information during registration and throughout your use of the Platform.

  • Maintain the security and confidentiality of your login credentials and not share them with any third party.

  • Immediately notify TISKON of any unauthorized use of your account or any other breach of security.

  • Accept responsibility for all activity that occurs under your account, whether or not authorized by you.

TISKON reserves the right to suspend or terminate any account at any time, with or without cause, and with or without notice.

2.4 Account Created on Your Behalf

In certain cases, TISKON or a Client may create an account on your behalf (for example, when inviting a Hub Member). By accepting the invitation and using the account, you agree to these Terms. If you do not wish to accept, you must not use the account and should contact TISKON to have it removed.

3. Platform Services & Features

3.1 Overview

TISKON Hub provides a comprehensive suite of digital tools designed to facilitate collaboration between TISKON and its clients. The Platform includes, but is not limited to:

  • Project Management: Tools for tracking project progress, managing tasks, setting deadlines, and monitoring deliverables across service categories.

  • Client Onboarding: Interactive forms and questionnaires for collecting business information, brand assets, design preferences, and service requirements.

  • Content Management: Social media content calendar, caption creation, hashtag management, and content scheduling tools.

  • Collaboration & Messaging: Real-time project messaging, direct messaging, group conversations, comment threads, and notification systems.

  • Market Intelligence: Tools for aggregating and displaying publicly available business information, advertisements, and commercial communications from external sources for competitive analysis and market research.

  • Media Library: Asset management for images, videos, documents, fonts, links, and other files, including organization into boards, tagging, and metadata extraction.

  • Artificial Intelligence Tools: AI-powered features for content generation (text, images, code), content analysis, chat assistance, and automated review of web pages and deliverables.

  • Review & Approval Workflows: Systems for submitting, reviewing, annotating, and approving deliverables, designs, content, and other work product.

  • Knowledge Base: Wiki-style documentation tools for creating, organizing, and sharing reference materials.

  • Page Review: Website review tools allowing annotation, feedback, and AI-assisted quality analysis across multiple viewports.

  • Code Library: Tools for storing, organizing, and sharing code snippets and templates.

  • Browser Extension: An optional companion browser extension for capturing screenshots, saving images, and collecting web content directly into the Platform.

  • Notification System: In-app and email notifications for task assignments, status changes, messages, approval requests, and other events.

3.2 Service Modifications

We reserve the right to modify, update, suspend, or discontinue any feature, tool, or service of the Platform at any time, with or without prior notice. We will make reasonable efforts to notify Users of material changes, but are not obligated to do so.

3.3 Service Availability

While we strive to maintain continuous availability, we do not guarantee uninterrupted access to the Platform. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. TISKON shall not be liable for any loss or inconvenience caused by Platform downtime.

4. Hub Members & Invited Collaborators

If you are accessing the Platform as a Hub Member, the following additional terms apply:

  • Your access was granted at the invitation of a Client and is limited to the specific project(s) to which you have been assigned.

  • You are bound by these Terms in the same manner as any other User of the Platform.

  • Your access may be revoked at any time by the inviting Client or by TISKON, without notice or liability.

  • You may only access, view, and interact with content, data, and features within your assigned project scope and your designated permission level (admin, editor, or viewer).

  • The Client who invited you is responsible for ensuring that your invitation is appropriate and authorized within their organization.

  • You must not share or disclose any project information, deliverables, or data accessed through the Platform with any person or entity not authorized to receive it.

  • Your access permissions may vary based on the role assigned to you by the Client or TISKON (e.g., admin, editor, or viewer access).

TISKON is not liable for any disputes between a Client and their Hub Members regarding access, authorization, or the content of any project.

5. Third-Party Content & Market Intelligence

5.1 Nature of Third-Party Content

The Platform may display content that originates from publicly available external sources, including publicly posted business content, commercial advertisements, and marketing communications. This content is aggregated and displayed for market research, competitive analysis, and informational purposes only.

5.2 Your Acknowledgments

You acknowledge and agree that:

  • Third-Party Content is provided "as is" for informational and analytical purposes only.

  • Third-Party Content remains the intellectual property of its respective owners and creators.

  • TISKON does not endorse, verify, or guarantee the accuracy, completeness, timeliness, or reliability of any Third-Party Content.

  • The availability and nature of Third-Party Content may change at any time without notice.

  • TISKON is not responsible for the availability, accuracy, legality, or appropriateness of Third-Party Content.

  • Any decisions or actions you take based on Third-Party Content are at your own risk.

5.3 Restrictions on Third-Party Content

You may not:

  • Reproduce, redistribute, publish, broadcast, or share any Third-Party Content accessed through the Platform with any person or entity outside of the Platform.

  • Download Third-Party Content for use outside of the Platform, except through features expressly provided for that purpose.

  • Use Third-Party Content to contact, harass, solicit, or target the businesses, individuals, or entities associated with such content.

  • Present Third-Party Content as your own original work.

  • Commercially exploit any Third-Party Content in any manner.

  • Use Third-Party Content in any way that infringes upon the intellectual property rights of its owners.

6. Artificial Intelligence Features

6.1 AI-Powered Tools

The Platform integrates artificial intelligence tools that may be used for content generation, image creation, code generation, content analysis, chat assistance, page review, and other automated or semi-automated functions. These tools are provided for your convenience and to enhance productivity.

6.2 AI Content Disclaimers

You acknowledge and agree that:

  • AI-Generated Content is produced by automated systems and may contain errors, inaccuracies, biases, or inappropriate material.

  • AI-Generated Content does not constitute professional advice (legal, financial, medical, or otherwise) and should not be relied upon as such.

  • You are solely responsible for reviewing, verifying, editing, and approving any AI-Generated Content before using it in any context.

  • TISKON makes no representations or warranties regarding the accuracy, originality, quality, fitness for purpose, or suitability of AI-Generated Content.

  • AI-Generated Content may inadvertently resemble existing copyrighted works. You are responsible for ensuring that your use of AI-Generated Content does not infringe upon the rights of any third party.

  • Usage of AI features may be subject to per-project limits, rate limits, or other restrictions, which TISKON may modify at any time.

6.3 AI-Generated Images

Images generated through the Platform's AI tools are subject to the terms of the underlying AI service providers. You may use AI-generated images within the scope of your project, but you are responsible for ensuring that such use complies with all applicable laws, does not infringe third-party rights, and is appropriate for its intended context.

6.4 AI Chat & Conversations

Conversations with AI assistants on the Platform may be logged for quality improvement, troubleshooting, and to provide context for ongoing projects. Do not share sensitive personal information, passwords, financial details, or other confidential data in AI chat conversations.

7. User Content & Licensing

7.1 Ownership

You retain ownership of your User Content. Nothing in these Terms transfers ownership of your intellectual property to TISKON, except as expressly stated herein.

7.2 License Grant to TISKON

By uploading, submitting, or transmitting User Content to the Platform, you grant TISKON a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, reproduce, process, adapt, and transmit your User Content solely for the purposes of:

  • Providing, maintaining, and improving the Platform and its services.

  • Delivering the professional services you have engaged TISKON to perform.

  • Displaying your content to authorized Users within your project scope.

  • Processing your content through AI tools and analysis features as requested by you or your project team.

  • Creating backups and archives as part of standard business operations.

This license continues for as long as your User Content remains on the Platform and for a reasonable period thereafter necessary for backup and archival purposes.

7.3 Content Representations

By uploading User Content, you represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to upload and share the content.

  • The content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.

  • The content does not violate any applicable law or regulation.

  • The content does not contain viruses, malware, or any harmful code.

  • Any personal information of third parties included in your content has been obtained with proper consent.

7.4 Content Shared Within Projects

User Content uploaded to a project may be visible to other authorized Users within that project, including TISKON Team Members, the Client, and any Hub Members with appropriate access permissions. You acknowledge that by uploading content to a shared project, you consent to it being viewed and used by authorized project participants for project-related purposes.

7.5 Content Removal

TISKON reserves the right to remove or disable access to any User Content that we believe, in our sole discretion, violates these Terms, any applicable law, or the rights of any third party, without prior notice.

8. Browser Extension

TISKON may provide an optional browser extension that integrates with the Platform. If you install and use the browser extension, the following terms apply:

  • The extension may access web page content, images, links, and other elements on pages you visit in order to provide its intended functionality (e.g., image collection, screenshot capture, link saving).

  • The extension only collects and transmits data when you actively initiate an action (e.g., clicking "save" or "capture"). It does not passively monitor your browsing activity.

  • Screenshots and images captured through the extension are uploaded to the Platform and stored in your project's media library.

  • You are solely responsible for ensuring that content captured via the extension does not infringe upon the intellectual property, privacy, or other rights of third parties.

  • The extension requires certain browser permissions to function. You may revoke these permissions at any time by uninstalling the extension.

  • The extension is provided "as is" and TISKON is not responsible for any conflicts with other browser extensions, browser updates, or website compatibility issues.

9. File Uploads & Storage

The Platform allows you to upload and store various file types, including images, videos, documents, fonts, PDFs, and other files. You acknowledge that:

  • Uploaded files are stored on cloud infrastructure and may be processed (e.g., thumbnail generation, metadata extraction, color analysis) to enhance Platform functionality.

  • You are responsible for maintaining your own backups of important files. While TISKON implements reasonable backup procedures, we do not guarantee that files will be preserved indefinitely or that they can be recovered in all circumstances.

  • File uploads may be subject to size limits and format restrictions, which may change from time to time.

  • Files uploaded to shared projects are accessible to authorized project participants.

  • TISKON may scan uploaded files for malware, viruses, or prohibited content.

10. Approval & Review Workflows

The Platform includes tools for submitting, reviewing, and approving deliverables and content. You acknowledge that:

  • Approval and review actions (including approvals, change requests, and feedback) are recorded and may serve as a record of your decisions and instructions.

  • You are responsible for thoroughly reviewing any deliverables or content before approving them. Approval indicates your acceptance of the deliverable in its current state.

  • TISKON relies on your approvals to proceed with project milestones. Delays in providing approvals may affect project timelines and deliverables.

  • Annotations, comments, and feedback you provide through review tools become part of the project record and are visible to authorized project participants.

11. Communications & Notifications

11.1 Platform Communications

By using the Platform, you consent to receiving communications through the Platform, including:

  • In-app notifications regarding tasks, messages, approvals, and project updates.

  • Email notifications related to your account and projects (where email sending is configured).

  • Messages from Team Members, other project participants, and AI assistants.

11.2 Message Retention

Messages, comments, and communications sent through the Platform are stored and may be retained as part of the project record. You should not expect that messages can be permanently deleted once sent. TISKON may access message content for support, troubleshooting, dispute resolution, and compliance purposes.

11.3 AI in Communications

AI-powered features may be used within messaging and communication tools. Messages generated or suggested by AI are clearly identified. You should review any AI-generated messages before relying on them.

12. Intellectual Property

12.1 TISKON's Intellectual Property

The Platform, including its design, architecture, source code, features, documentation, branding, logos, and all related intellectual property, is the exclusive property of TISKON and is protected by applicable intellectual property laws. You may not:

  • Copy, modify, adapt, or create derivative works of the Platform or any part thereof.

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.

  • Use the Platform's design, features, or technology to create a competing product or service.

  • Remove, alter, or obscure any proprietary notices, labels, or branding on the Platform.

  • Frame, mirror, or otherwise reproduce any portion of the Platform on any other server or internet-based device.

12.2 Deliverable Ownership

Ownership of Deliverables created through the Platform is governed by the service agreement between TISKON and the applicable Client. These Terms do not alter any intellectual property provisions of your service agreement with TISKON.

13. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable local, provincial, federal, or international law or regulation.

  • Redistribute, republish, broadcast, or share Third-Party Content or AI-Generated Content outside of the Platform without express authorization.

  • Attempt to gain unauthorized access to other Users' accounts, data, projects, or any part of the Platform's infrastructure.

  • Use automated tools, bots, spiders, scrapers, or scripts to access, collect, or extract data from the Platform.

  • Upload, transmit, or distribute viruses, worms, Trojans, ransomware, or any other malicious code or harmful content.

  • Interfere with, disrupt, or impose an unreasonable burden on the Platform's servers, networks, or infrastructure.

  • Impersonate any person, organization, or entity, or misrepresent your identity or affiliation.

  • Use the Platform to send spam, unsolicited communications, or bulk messages.

  • Circumvent, disable, or otherwise interfere with any security, access control, or authentication feature of the Platform.

  • Access projects, data, or features beyond your authorized scope or permission level.

  • Use information or content obtained through the Platform to develop a competing product or service.

  • Share your login credentials with any third party or allow others to use your account.

  • Upload content that is defamatory, obscene, threatening, discriminatory, or otherwise objectionable.

  • Use the Platform to store or transmit personally identifiable information of third parties without their consent and a lawful basis for doing so.

  • Systematically download, archive, or cache Platform content or Third-Party Content for offline use except through features expressly provided for that purpose.

  • Probe, scan, or test the vulnerability of the Platform or any related system or network, or breach any security or authentication measures.

14. Contract & Financial Information

The Platform may store contract details, pricing information, billing terms, and other financial data related to the services provided by TISKON. You acknowledge that:

  • Financial and contract information displayed on the Platform is for reference and project management purposes.

  • The Platform is not a billing or payment processing system. Actual invoicing and payment processing occur through separate channels.

  • Contract terms displayed on the Platform are subject to the formal written agreements between TISKON and the applicable Client.

  • TISKON is not liable for any discrepancies between information displayed on the Platform and the terms of any formal written agreement.

15. Activity Logging & Audit Trail

The Platform maintains an activity log that records User actions, including but not limited to: task creation and updates, content changes, approval decisions, message activity, file uploads, login events, and other interactions. This log is used for:

  • Providing project visibility and accountability.

  • Troubleshooting and support.

  • Compliance and dispute resolution.

  • Platform improvement and analytics.

You acknowledge that your actions on the Platform are logged and that these logs may be used as evidence in the event of a dispute.

16. Data Deletion & Retention

Upon termination of your account or project:

  • TISKON may retain your data for a reasonable period as required by applicable law, for backup and archival purposes, or for legitimate business needs (such as dispute resolution).

  • Deleted content may be held in a "trash" or recovery state for a limited period before permanent deletion.

  • Some data (such as activity logs, approval records, and legal acceptance records) may be retained indefinitely for compliance and audit purposes.

  • If you wish to request deletion of your personal data, please contact our Privacy Officer as described in our Privacy Policy.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

  • TISKON DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

  • TISKON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

  • TISKON'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TISKON IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

  • TISKON IS NOT LIABLE FOR ANY LOSS, DAMAGE, OR HARM RESULTING FROM: (A) YOUR RELIANCE ON THIRD-PARTY CONTENT DISPLAYED ON THE PLATFORM; (B) AI-GENERATED CONTENT; (C) ACTIONS TAKEN BY OTHER USERS; (D) UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR FAILURE TO MAINTAIN CREDENTIAL SECURITY; (E) DATA LOSS DUE TO CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL.

  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to indemnify, defend, and hold harmless TISKON, its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising from or related to:

  • Your use of or access to the Platform.

  • Your violation of these Terms or any applicable law or regulation.

  • Your User Content, including any claim that your content infringes the intellectual property, privacy, or other rights of a third party.

  • Your use of AI-Generated Content in any context.

  • Content captured or collected through the browser extension.

  • Any dispute between you and a third party arising from your use of the Platform.

  • Your breach of any representation or warranty made in these Terms.

  • Any Hub Members you invite to the Platform and their actions on the Platform.

19. Termination

19.1 Termination by TISKON

TISKON may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, violation of applicable law, prolonged inactivity, non-payment of fees, or at the conclusion of a project engagement.

19.2 Effect of Termination

Upon termination:

  • Your right to access the Platform ceases immediately.

  • TISKON may retain or delete your data in accordance with our Privacy Policy, applicable law, and any service agreement between us.

  • You remain responsible for any obligations incurred prior to termination.

  • Any licenses you granted to TISKON under these Terms shall survive termination to the extent necessary for TISKON to fulfill its obligations and exercise its rights.

19.3 Survival

The following provisions survive termination of these Terms: Definitions, Intellectual Property, Third-Party Content restrictions, AI-Generated Content disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and any other provisions that by their nature should survive termination.

20. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, judicial district of Montreal.

21. Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute with TISKON through good-faith negotiation. You may contact us at the address provided below. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue legal remedies as permitted under applicable law. Each party shall bear its own costs in connection with any dispute resolution proceedings, unless otherwise ordered by a court of competent jurisdiction.

22. Force Majeure

TISKON shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet service disruptions, cyberattacks, or failures of third-party service providers.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

24. Waiver

The failure of TISKON to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by TISKON.

25. Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, and any applicable service agreement, constitute the entire agreement between you and TISKON regarding your use of the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, regarding the Platform.

26. Modifications to Terms

TISKON reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and notify you through the Platform. Material changes will require your acceptance of the updated Terms before you may continue using the Platform. Your continued use of the Platform after accepting updated Terms constitutes your agreement to the modified Terms.

27. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of TISKON. TISKON may assign these Terms without restriction. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their permitted successors and assigns.
